NOTICE: We collect and may share certain sensitive personal information only with your explicit consent and as permitted by applicable law.
ImpiricusHealth Corp., doing business as DocUpdate.io (“Company”, “we”, “our”, or “us”) respects your privacy and is committed to protecting it through our compliance with this policy. This policy describes how we collect, process, retain, and disclose personal data about you when providing services to you through our websites, applications, products, and services that link to this policy (our “Services”) and our practices for using, maintaining, protecting, and disclosing that information.
Our Services are made available primarily to licensed U.S. healthcare professionals (“HCPs”) and their authorized staff. To the extent we create, receive, maintain, or transmit Protected Health Information (“PHI”) on behalf of a HIPAA-covered entity, we act as a Business Associate under the Health Insurance Portability and Accountability Act (“HIPAA”) and the use and disclosure of that PHI is governed by HIPAA, the HITECH Act, and the applicable Business Associate Agreement (“BAA”), not by this policy. Where this policy and the BAA conflict with respect to PHI, the BAA controls.
This policy applies only to information we collect:
- Through the Services.
- In communications, including email, text, chat, and other electronic messages, between you and the Services.
- When you interact with our advertising and applications (including mobile apps) on third-party websites and services, if those applications or advertising include links to this policy.
- RCS Messages.

- Us through any other means, including on any other website operated by Company or any third party (including our affiliates and subsidiaries) that does not link to this policy; or
- Any third party (including our affiliates and subsidiaries), including through any application or content (including advertising) that may link to or be accessible from or through the Services.
We may provide additional or different privacy policies that are specific to certain features, services, or activities.
Please read this policy carefully to understand our policies and practices regarding your information and how we treat it. By interacting with our Services or providing us with your information, you acknowledge and agree to the collection, use, and sharing of your information as described in this privacy policy, except where applicable law requires separate, affirmative consent (such as for the processing of sensitive personal data), in which case we will obtain such consent before processing. This policy may change from time to time (see Changes to Our Privacy Policy). Your continued use of the Services after we make changes as described here is deemed to be acceptance of those changes, so please check the policy periodically for updates.

They may use this information to provide you with interest-based (behavioral) advertising or other targeted content.
We do not control these third parties’ tracking technologies or how they may be used. If you have any questions about an advertisement or other targeted content, you should contact the responsible provider directly.

Where we use identifiable information (including information provided by HCPs) to train proprietary models, we will do so only with your consent or as otherwise permitted by applicable law. Customer data is not used to train these third-party models unless you have provided explicit consent or such use is permitted under applicable law and our agreements. Any third-party AI providers we engage are contractually bound to comply with data protection and confidentiality requirements consistent with this policy, including through data processing agreements or equivalent contractual protections.
Promote our Services, business, and offerings by publishing advertising on our own Services and by placing ads on third parties’ services. We may use your information to model, segment, target, offer, market, and advertise our Services, and to conduct marketing surveys, market research, and analytics to understand user preferences and improve our offerings.
Carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including for billing and collection.
Notify you when Services updates are available and about changes to any products or services we offer or provide through them.
In any other way we may describe when you provide the information.
For any other purpose with your consent.

We may disclose aggregated information about our users, and information that does not identify any individual, without restriction.
We may also disclose personal data that we collect or you provide as described in this privacy policy:
To our subsidiaries and affiliates.
To contractors, service providers, and other third parties we use to support our organization and who are bound by contractual obligations to keep personal data confidential and use it only for the purposes for which we disclose it to them.
To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of the Company’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal data held by the Company is among the assets transferred.
To third parties to market their products or services to you if you have consented to these disclosures. We contractually require these third parties to keep personal data confidential and use it only for the purposes for which we disclose it to them. For more information, see Your Rights and Choices About Your Information.
To fulfill the purpose for which you provide it.
For any other purpose disclosed by us when you provide the information.
With your consent.
We may also disclose your personal data:
To comply with any court order, law, or legal process, including to respond to any government or regulatory request.
To enforce or apply our Terms of Service and other agreements, including for billing and collection purposes.
If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of our organization, our members, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.
SMS, RCS, and Other Mobile Messaging. With your prior express consent (and prior express written consent where required for marketing or promotional messages under the Telephone Consumer Protection Act, 47 U.S.C. § 227, and its implementing regulations), we and our service providers may send you transactional and promotional messages by SMS, RCS, MMS, push notification, or similar channels, including messages sponsored by pharmaceutical manufacturers or other business partners. Message and data rates may apply; message frequency varies. You may revoke your consent and opt out at any time using any reasonable method that clearly communicates your request, including by replying STOP, QUIT, END, CANCEL, UNSUBSCRIBE, OPT-OUT, or REVOKE to any program message, by using the in-message unsubscribe control (for RCS), or by emailing support@docupdate.io. These keywords and channels are examples only and are not the exclusive means of opting out. We will honor your opt-out request as soon as practicable, and in no event later than ten (10) business days after receipt. When you revoke consent, that revocation will apply to both text messages and calls regardless of the channel through which you communicate it. We may send you a one-time message to confirm or clarify the scope of your opt-out request. Reply HELP for assistance. Opting out of marketing messages will not stop transactional messages necessary to provide the Services (such as e-prescribing confirmations or account security alerts) unless you also opt out of those messages. We do not sell or rent mobile phone numbers collected for messaging purposes to third parties for their own marketing.
Pharmaceutical Manufacturers and Industry Partners. When you use features that connect you with pharmaceutical manufacturers or their agents (for example, requesting samples or rep visits, viewing sponsored medical content, or receiving sponsored messaging), we may share with the relevant manufacturer or its agent the information reasonably necessary to fulfill your request and to measure and report on campaign engagement and program effectiveness (which may include your name, NPI, specialty, practice address, and the content of your request). We require these partners by contract to use that information only for the purposes for which it was disclosed and to comply with applicable law, including HIPAA where applicable. You may opt out of sponsored messaging at any time as described above.
